TERMS AND CONDITIONS
Registration: This is a public
auction. Everyone is invited and encouraged to bid. Auction
registration begins at 12:00 pm on Tuesday, November 9, 2004.
Inspecting the Property: The building may be inspected on Thursday,
November 4, from 11:00am to 1:00pm, or by appointment. Call Tom
Hunter at Sperry Van Ness/Interstate Auction Co.: 770-682-8552.
Financing: No financing is
offered by Seller. It will be buyer's responsibility to arrange
financing, if required. The sale is not contingent upon such
Closing: Immediately upon the
conclusion of the auction, the high bidder will be required to sign
the auction purchase and sale contract, and make the required ten
percent (10%) earnest money deposit. Closing must take place within
30 days of the auction purchase and sale contract being signed by
all parties. The sale will be contingent upon a clean Phase I
environmental report to be paid for by purchaser and completed
within 14 days. The purchaser will pay all closing costs.
Buyer's Brokers: A referral fee
equal to 2 percent of the high bid will be paid from the sale
proceeds at close of escrow to a real estate agent who properly
registers and represents the purchaser. Buyer's brokers may register
bidders up to 48 hours prior to the start of the auction.

Property Information Packages are also available for shipping to
bidders by calling 404-303-1232, ext. 35. A $50 copy charge plus
shipping charges will be applied. The Property Information Packages
contain the auction postcard, terms and conditions of the auction,
real estate tax information, legal description, bidder's affidavit,
photos, survey, building diagram, maps, auction purchase and sale
contract, and other useful information.
Buyer's Premium: A ten percent
(10%) buyer's premium will be added to the high bid to determine the
total purchase price.

reserves the right to deny any person admittance to the auction.
Auctioneer may refuse admittance to or expel anyone from the auction
premises for any interference with auction activities, or any act or
action which might be considered detrimental to the auction by the
Auctioneer. The Auctioneer shall not be responsible or liable in any
way if the owner fails to honor any bid, or refuses to close on the
contract which may result from this auction. Seller reserves the
right to postpone or cancel the auction in whole or part, and to
modify or add any terms and conditions either prior to or at the
auction. Persons buying in the name of trusts, partnerships, and
corporations or with a power of attorney must have the authorizing
documents examined and approved prior to the auction by a
representative of the Seller. All information was obtained from
sources deemed reliable. Sperry Van Ness®/Interstate Auction ®
Company, sale manager, and all their agents, Seller and all of their
agents, will not be responsible for any errors or omissions herein.
Oral representations cannot be relied upon as correct. However,
announcements made on auction day take precedence over written
matter. Conduct of the auction and increments of the bidding shall
be at the sole discretion of the auctioneer. Offer void where
